Le 26 octobre Anna Gassner et Mélissandre Demarcq interviendront en tant qu’orateurs lors d'une formation sur la reprise d’une entreprise organisée par la House of Entrepreneurship et la House of Training. Lors du module 4 de la formation, elles analyseront les différents aspects juridiques liés à la reprise d’une entreprise au Luxembourg.

Module 4 - Aspects juridiques de la reprise d’une entreprise

Il est important, préalablement à une reprise, de porter une attention toute particulière aux différentes structurations juridiques possibles et aux mentions des actes juridiques réalisant la reprise (tels qu'entre autres la promesse de vente et l’acte de vente). Si ces actes ne sont pas rédigés avec soin, le repreneur pourra être confronté assez rapidement à certains problèmes.

La reprise peut s'effectuer seul ou à plusieurs. Dans ce dernier cas, il est également important d'organiser les relations entre les repreneurs et de prendre conscience des droits et des obligations de chacun.

Ce module vous aidera à y voir plus clair dans les bases essentielles du droit luxembourgeois et les spécificités en la matière.

On 26 October Anna Gassner and Mélissandre Demarcq will be speakers at a professional training on taking over a company organised by the House of Entrepreneurship and the House of Training. In module 4 of the training, they will analyse the different legal aspects of taking over a company in Luxembourg.

Module 4 - Legal aspects of taking over a company

Prior to a takeover, it is important to pay particular attention to the various possible legal structures and to the details of the legal acts concluding the takeover (such as the sale agreement and the deed of sale, among others). If these documents are not carefully drafted, the buyer may face certain problems fairly quickly.

The takeover can be carried out by one or several people. If the latter occurs, it is also important to organise relations between the buyers and get to know the rights and obligations of each party.

This module will help you to see more clearly the essential basics of Luxembourg law and the particularities in such matters.
