Reorganisation of the nursing market: Luther advises Alloheim on group restructuring and establishment of SE & Co. KG Structure

Over the past two years, the Alloheim Group, Germany's second-largest nursing home operator, has undergone a comprehensive restructuring of the Group structure. A team from Luther Lawfirm led the restructuring.

Background

With 17,500 employees, 196 nursing homes, 72 facilities with assisted living and 25 outpatient nursing services, the Alloheim Group is the second largest nursing home operator in Germany. Over the past few years, the Alloheim Group has grown strongly through various add-on acquisitions.

Due to the strong growth and historically developed structures, intermediate holding companies and various subgroups with numerous legal entities had established themselves. As part of the comprehensive reorganization, the Group structure was streamlined by merging numerous companies from the areas of operative home operation, service, outpatient services etc. into partnerships and eliminating existing intermediate holding companies. The new lean structure creates the basis for continuing to be able to react flexibly to the requirements of a constantly changing German nursing market.

The restructuring took more than two years and included more than 60 transformation measures (change of legal form, demergers and mergers). One of the challenges was the monitoring and dovetailing of the numerous transformation measures as well as the close coordination with the competent register courts. 

The two partners Dr. Stefan Galla (Head of Corporate/M&A) and Dr. Cédric Müller (Head of Restructuring Consulting) were in charge of the project. The restructuring was accompanied by EY for tax purposes.
