Luther advises insolvent Klinikum Burgenlandkreis on takeover by SRH Kliniken

The non-profit education and health company SRH Kliniken (SRH) acquires Klinikum Burgenlandkreis GmbH with two hospitals in Naumburg and Zeitz (Saxony-Anhalt), medical care centres and a service company. Luther acted as transaction and legal advisor to the insolvent company during the sale.

Background

Klinikum Burgenlandkreis GmbH is an academic teaching hospital of the University Hospital Jena and the University of Leipzig and employs approximately 1,500 people. The company went into insolvency in mid/end 2019. In order to maintain hospital operations, a bidding procedure was initiated at short notice by the company's own management (supported by Eckert Rechtsanwälte Steuerberater Partnerschaftsgesellschaft mbB and WMC Healthcare GmbH) and the administrator, Prof. Dr. Lukas Flöther, in order to enable a transferable restructuring. In just under five months, Luther was able to successfully conclude the competitive bidding process as transaction and legal advisor. SRH, a leading provider of educational and health services, was acquired as the purchaser. SRH operates private universities, training centres, schools and hospitals. The two clinics in Naumburg and Zeitz will be retained. It was agreed not to disclose the purchase price.
