Luther Advises Pflege LebensNah on Sale to New Owner

Hannover – Luther Rechtsanwaltsgesellschaft advised Pflege LebensNah - Diakonische Dienste im Ev.-Luth. Kirchenkreis Rendsburg-Eckernförde e.V. on the sale of the two operating units, nursing services and hospice, to Pflegediakonie Hamburg-West/Südholstein gGmbH. Despite the current pandemic challenges in the outpatient sector, the transaction was successfully completed within four months and at the same time the jobs of the employees were secured.

Background

The transaction includes the hospice operated by Pflege LebensNah e. V., one of the first hospice facilities in Schleswig-Holstein (Germany), as well as all the shares in Pflege LebensNah gGmbH, a nursing service provider in the Rendsburg (Germany) area specialising in outpatient and semi-stationary nursing care for the sick and elderly. With this acquisition, Pflegediakonie Hamburg-West/Südholstein gGmbH, which won the bidding competition with two acquiring companies, is expanding its range of services considerably. With the takeover of Pflege LebensNah gGmbH which has approximately 300 employees and approximately 15 locations, Pflegediakonie Hamburg-West/Südholstein gGmbH is now one of the largest providers of outpatient care in Northern Germany.

It is not only the extremely short period of time in which the transaction was fully implemented that should be highlighted, but more importantly the fact that it was possible to find a suitable diaconal institution amongst the large number of bidders that continues to have the same unconditional Christian values as the staff and patients. Luther provided Pflege LebensNah e.V. with a considerable amount of support in terms of both legal matters and in managing the transaction.
