Ruth-Maria Thomsen

Ruth-Maria Thomsen specialises in providing comprehensive advice to domestic and foreign clients in real estate transactions, both buy-side and sell-side. Her expertise includes asset deals as well as share deals. Ruth-Maria Thomsen’s advisory services range from the due diligence review and the structuring of the transaction to the drafting and negotiation of the contract up to and including the closing of the transaction. Having worked for many years in the area of Corporate/M&A, she has special experience at the interface between real estate law and corporate law and in the financing of transactions. Furthermore, she advises on commercial leases and contract management for existing properties.

Ruth-Maria Thomsen studied law at the University of Passau (Germany) and at Trinity College in Dublin (Ireland). After completing her legal training in Aschaffenburg (Germany), she was admitted to the German Bar in 2006. She commenced her professional career as a lawyer in the Frankfurt office of a large international law firm before moving on to another renowned law firm in 2010. Ruth-Maria Thomsen has worked in the areas of real estate law and Corporate/M&A from the outset. She joined Luther as a Partner in 2019 and is a member of the real estate team.

• Advising a family office on the sale of a piece of land to a project developer for the development of building land for the construction of over 100 terraced houses
• Advising a logistics company on the purchase of a piece of land for the development of building land for the construction of a logistics building
• Providing ongoing landlord and tenant and real estate law advice to the pension fund of an industrial group

Matters handled before joining Luther:

• Advised a project developer on the sale of a logistics property portfolio to an institutional investor by way of a forward deal
• Advised foreign investors on the acquisition of office buildings in Germany by way of share forward deals
• Advised a foreign investor on the sale of an apartment portfolio

• Preventive restructuring of companies in 2021: possible course of procedures under the draft German Business Stabilisation and Restructuring Act and the impact these procedures will have on the real estate market
