Luther Rechtsanwaltsgesellschaft mbH has advised Peter Greven Physioderm GmbH (PGP), a leading manufacturer of skin care products for occupational safety, on the acquisition of Dutch company Dreumex B.V. This strategic move will enable PGP to further expand its international business, particularly in the US and the Netherlands.
The transaction, which was successfully completed on 31 July 2025, gives PGP strategic access to new markets, particularly in the USA. Luther's experienced M&A team, led by Thomas Weidlich, advised PGP on all legal and tax aspects of the complex cross-border transaction. In addition to due diligence on the group companies in the US, France and the Netherlands, this included drafting and negotiating the share purchase agreement and other transaction documents, as well as notarisation in the Netherlands. Through close cooperation with international partner law firms Ploum in the Netherlands and Nixon Peabody in the United States, Luther was able to coordinate and successfully implement all country-specific legal and tax requirements.
Strategic course set for international growth
With the acquisition of Dreumex, a global specialist in hand cleaning, surface disinfection and industrial cleaning solutions, PGP is strengthening its international presence and expanding its product portfolio. Dreumex will continue as an independent brand within the Peter Greven Group. Everything will remain unchanged for customers and suppliers of both companies.
‘The acquisition of Dreumex was an extremely complex project due to the international structure and a parallel carve-out on the seller side. The Luther team once again supported us with a high level of professional expertise, clear communication and efficient coordination across national borders,’ says Werner Heiliger, Commercial Managing Director of the Peter Greven Group. ‘Thanks to this professional cooperation, we were able to complete the transaction smoothly and at the same time lay the foundation for our international growth.’
