Luther advises FinTech Group Crealogix on streamlining the Group’s structure

Due to the Group’s dynamic development and strong growth in recent years, numerous legal entities had been established. These have now been optimised in the course of the reorganisation under corporate law. In addition to the change of legal form at the level of the German group parent from Crealogix (Deutschland) AG to Crealogix (Deutschland) GmbH, the Group’s structure was streamlined through mergers and a capital increase by way of contributions in kind (legal entity consolidation) and was newly organised.

At the same time, the governance structures were adapted. This new, streamlined structure is intended to enable the Group to continue to respond flexibly and efficiently to the requirements and needs of clients in a constantly evolving FinTech market.
