Luther advises Klinikum Friedrichshafen on acquisition of Klinik Tettnang

The municipal hospital group on Lake Constance under leadership of Klinikum Friedrichshafen GmbH has been expanded: By acquiring Klinik Tettnang (Baden-Württemberg) in mid-March 2015, Klinikum Friedrichshafen has reached a significant milestone in securing the medical care in the region of Lake Constance. Once again Klinikum Friedrichshafen was advised by Luther Rechtsanwaltsgesellschaft mbH who had already provided advice to the clinic group during an expansion in 2013.

Background

With the acquisition of 94.9 % of the shares in Klinik Tettnang GmbH, Klinikum Friedrichshafen GmbH takes over a general hospital with about 140 beds of Waldburg-Zeil Kliniken GmbH & Co. KG. Together with its subsidiary hospitals, Klinikum Friedrichshafen has now about 650 beds and is thus one of the largest municipal hospital groups in Baden-Württemberg.

The acquisition involving the two municipalities City of Friedrichshafen (shareholder of Klinikum Friedrichshafen GmbH) and Rural District of Bodenseekreis (minority shareholder of Klinik Tettnang GmbH) turned out to be a highly complex legal process: After intensive but constructive examinations by the Federal Cartel Office, the shares in Klinik Tettnang were transferred to Klinikum Friedrichshafen by way of a re-investment by Waldburg-Zeil Kliniken GmbH & Co. KG as minority shareholder in Klinikum Friedrichshafen GmbH.

At the end of 2013, Luther Rechtsanwaltsgesellschaft already advised the hospital group of Klinikum Friedrichshafen GmbH on the acquisition of a shareholding in the hospital 14 Nothelfer (Weingarten). Rural District Bodenseekreis, City of Weingarten and Waldburg-Zeil Kliniken GmbH & Co. KG are now together with the shareholder City of Friedrichshafen partners in the hospital group under municipal sponsorship.
