With the assistance of Luther, BayWa Aktiengesellschaft has sold its contracting business BayWa EDL to EGC in order to focus even more strongly on the expansion of innovative energy and agricultural solutions and the further development of its core business areas in the future.
With the assistance of Luther Rechtsanwaltsgesellschaft mbH, BayWa AG has sold BayWa Energie Dienstleistungs GmbH (BayWa EDL) to EGC, a leading energy service provider and decarbonisation partner to the real estate industry, for a double-digit million euro amount.
With this transaction, BayWa AG is continuing its strategic focus on the further development of its core business areas and the expansion of innovative energy and agricultural solutions.
A team from Luther Rechtsanwaltsgesellschaft mbH led by Prof. Dr Florian Schulz and Dr Michael Bormann advised BayWa AG on corporate law, antitrust and competition law issues in connection with the transaction and assisted with the legal structuring, contract negotiation and implementation of the sale.
BayWa EDL, a subsidiary of BayWa AG founded in 2009, specialises in biomass heating systems and local heating networks. The company operates heat generation plants at 52 locations, which are mainly fuelled by biomass, and generates around 51,200 MWh of heat annually.
With the acquisition of BayWa EDL, EGC, a leading energy service provider and decarbonisation partner for the real estate industry, is strengthening its presence in Bavaria and will now be represented in all key regions of Germany. At the same time, EGC is expanding its technology portfolio in the field of biomass and underlining its role as a one-stop shop for climate-friendly energy solutions.
