Luther advises Ulm University Hospital on acquisition of Ulm University and Rehabilitation Clinics from Sana Kliniken AG

Leipzig/Hanover – The Ulm University Hospital (UKU) has signed an agreement to acquire the Ulm University and Rehabilitation Clinics (RKU) from Sana Kliniken AG (Sana). This is the first time a university hospital has completed its range of services by taking over a private hospital – a novelty in the German hospital landscape. The Ulm University Hospital was advised on the transaction by Luther Rechtsanwaltsgesellschaft’s team of experts specialising in university hospitals, which has decades of experience in the university medical sector.

Background

Sana Kliniken AG (Sana) and the Ulm University Hospital (UKU) have reached an agreement on the transfer of Sana’s shares in the Ulm University and Rehabilitation Clinics (RKU) to the Ulm University Hospital. The purchase agreement was signed at the end of March 2021. Following approval by the antitrust and fiscal authorities, the takeover of the Ulm University and Rehabilitation Clinics will be completed by mid-2021.

The acquisition, carried out with the support of the German state of Baden-Württemberg, will strengthen Baden-Württemberg and Ulm as locations for health and science. The plan is for the Ulm University and Rehabilitation Clinics to continue to exist as a subsidiary of the Ulm University Hospital and to remain a strong, independent player in Ulm’s health care sector. The employees’ existing employment relationships with the Ulm University and Rehabilitation Clinics will remain unaffected.

Sana will continue to be responsible for operational management through a continuing management agreement. In addition, the Ulm University Hospital will be represented by a management board member in the management of the Ulm University and Rehabilitation Clinics in the future.

With 29 clinics and 15 institutes, the University Hospital offers inpatients and outpatients health care at the highest level.

The Ulm University Hospital has 1,200 beds and is the largest hospital between East Württemberg, the Swabian Alb, Lake Constance and Allgäu. At the University of Ulm, around 3,350 students are studying at the Faculty of Medicine.
