Luther advises Mainz University Medical Centre on takeover of Diakoniekrankenhaus Ingelheim

Universitätsmedizin Mainz (University Medical Centre of the city of Mainz) and the city of Ingelheim have jointly founded the supporting association “Krankenhaus Ingelheim der Universitätsmedizin Mainz gGmbH”. The latter has acquired the business operations of Agaplesion Diakoniekrankenhaus Ingelheim. Mainz University Medical Centre was advised by a team of Law firm Luther.

Background

Universitätsmedizin Mainz (University Medical Centre of the city of Mainz) and the city of Ingelheim have jointly founded the supporting association “Krankenhaus Ingelheim der Universitätsmedizin Mainz gGmbH”. The latter has acquired the business operations of Agaplesion Diakoniekrankenhaus Ingelheim. Mainz University Medical Centre was advised by a team of Law firm Luther.

The Ingelheim hospital has found a powerful partner in Mainz University Medical Centre, which is the majority shareholder of the sponsoring company, to continue providing in-patient basic medical care close to the place of residence. In addition to the Mainz University Medical Centre, the City of Ingelheim has also supported the preservation and rehabilitation of the Ingelheim hospital through its participation in the sponsoring company and the associated financial commitments.

The Bundeskartellamt (Federal Cartel Office) had already given its approval for the change of owners at the beginning of this year.

All 180 employees of the Ingelheim hospital will be taken over. It is also planned to create around 50 new full-time positions. Savings through cooperation with Mainz University Medical Centre can be achieved, for example, by combining administration, kitchen and sterilization.

The Agaplesion Diakoniekrankenhaus Ingelheim has 133 beds. Since 2010, it has been part of an association of Agaplesion gemeinnützige AG with headquarters in Frankfurt am Main, which includes more than 100 facilities nationwide, including 26 hospital locations. The former carrier was the HDV gemeinnützige GmbH. In 2016, more than 1,700 patients from Ingelheim and the surrounding area were treated in the diaconal hospital.
