Luther accompanies reorganisation of healthcare in the district of Verden

With the assistance of Luther Rechtsanwaltsgesellschaft mbH, the district of Verden is reorganising the care facilities in the district of Verden under the umbrella of Aller-Weser-Klinik gGmbH. Luther provided comprehensive advice on the structuring and implementation of the transaction from a corporate, regulatory, employment, tax and real estate law perspective.

Background

The future viability of care facilities and, in particular, the integration of healthcare and care facilities as an integrated care concept under the umbrella of Aller-Weser-Klinik gGmbH have been the driving forces behind the reorientation. 

The care facilities in the district of Verden were first transferred to a separate company for the purpose of economic and organisational independence and then sold to Aller-Weser-Klinik gGmbH, which will continue to operate the care centres in future and integrate them into its existing range of services. 

In close cooperation with the district of Verden, the management of the care facilities and the management of Aller-Weser-Klinik gGmbH, as well as its other shareholders, the city of Verden/Aller and the city of Achim, Luther accompanied the project from the separation of the care facilities from the district's assets to the sale of the shares. 

The entire project had to be closely coordinated with the relevant pension providers, the Federal and State Pension Institution (VBL), the local government supervisory authority and the relevant tax office. The district of Verden placed its trust in the well-known Luther Health Care team led by Dr Oliver Kairies.
