Background

The globally operating engineering service provider FEV takes over B&W Fahrzeugentwicklung GmbH, based in Wolfsburg. A team of Luther Rechtsanwaltsgesellschaft advised B&W on the two-step transaction.

With more than 300 employees, B&W Fahrzeugtwicklung GmbH is a specialized engineering service provider in the automotive sector. Under the leadership of Thomas Halberkamp, a Luther team initially advised B&W on the complete acquisition of its own subsidiary EDL Rethschulte GmbH based in Osnabrück. In a second step, B&W and EDL Rethschulte were sold to the Aachen-based FEV Group.

With more than 5,300 employees, FEV is one of the world's largest independent service providers in the development of combustion engines and vehicle technology. FEV's range of expertise also includes consulting, development and testing of innovative vehicle concepts. With the merger with B&W, FEV expands its complete vehicle development segment. From an economic point of view, i-capital acted as M&A advisor to the seller (in charge: Torben Seikowsky, Christian Stahl).
