Luther advises Vorwerk on IT Centralization

As part of a restructuring, the Wuppertal-based company Vorwerk has centralised its entire IT division and spun it off into a Service GmbH. Luther provided legal advice to Vorwerk on this project.

Background

Vorwerk & Co. KG is a family business founded in 1883 and employs almost 13,000 people. The group primarily manufactures and sells household appliances, including the multifunctional kitchen machine Thermomix. The products are available in around 80 countries.

As part of the legal spin-off, the IT divisions of various Group companies were transferred to the previously founded Group company Vorwerk Services GmbH, which is 100% owned by the Vorwerk Group. The entire process took more than one year. The spin-off measures were successfully implemented thanks to the intensive cooperation of all parties involved and preliminary coordination with the commercial registers.

Luther provided comprehensive support for the process in the areas of corporate law, employment law and IT law. The Essen partners Dr Arndt Begemann and Dr Cédric Müller were in the lead.
